Terms of Service
What we do, what you can expect, who owns what, and what we are responsible for.
01Acceptance of these terms
These Terms govern your use of tbhouseofinno.com, the free SHAPE Brand Diagnostic, the paid SHAPE Brand Audit, and any consulting engagement with J. Ray Enterprises LLC d/b/a Tampa Bay House of Innovation (“we,” “us,” the “Company”).
By using the site, completing the Diagnostic, purchasing or taking the Audit, or engaging us, you agree to these Terms. If you do not agree, please do not use the site or engage us.
02The SHAPE Brand Diagnostic
The Diagnostic is provided free of charge for your own business use. In exchange for your contact details we generate a scored readout of your brand across the five SHAPE stages.
- The readout is informational. It reflects your own self-assessment answers, not an independent review of your business, and it is not professional advice. The independent review is the paid SHAPE Audit, described below.
- You may use, print, and share your own readout inside your business freely.
- The Diagnostic itself — the questions, scoring model, sequence logic, and readout structure — remains our property and may not be copied, republished, or rebuilt as a competing assessment.
- If you opt in, we may contact you about your result and send occasional notes on brand strategy. Every marketing message carries an unsubscribe link, and unsubscribing does not affect anything you have purchased or engaged us for.
03The SHAPE Brand Audit
The SHAPE Brand Audit is a paid review in which you rate the same 45 statements as the Diagnostic and show the evidence behind each rating, and our team scores that evidence independently.
What the $99 fee includes
- Evidence review of all 45 statements by the Tampa Bay House of Innovation team.
- An independent score for every SHAPE stage, shown alongside your own.
- A team view: you may invite up to five colleagues to complete it at no extra cost.
- A written SHAPE Audit Findings report and a readout call.
Payment and access
- The Audit costs $99, paid through Stripe’s secure checkout, or unlocked with an access code we issue to you.
- After payment your access is saved in the browser you used, for 180 days. Clearing your browser data or changing devices may remove it; contact us and we will restore it. Keep any access code private.
- The Audit fee is non-refundable once paid. The only exception is an accidental duplicate purchase, where we refund the extra Audit. See the Refund Policy.
The $99 credit
The $99 you paid is credited toward any paid Tampa Bay House of Innovation consulting level, from the Advisory Session upward. The credit does not expire. It applies once, to the business that bought the Audit, and it is not redeemable for cash or transferable to another business.
Your team and your evidence
- Invite only people who are authorized to share the business information they will enter. Their responses become part of your Audit and are shared with you and with us.
- You confirm you have the right to share the evidence and notes you provide. Do not include passwords, payment card numbers, health information, or other people’s sensitive personal information.
- Audit findings are our professional assessment of the evidence you give us. They are subject to the no-guarantee terms below.
04Consulting engagements
Advisory sessions, guided working sessions, sprints, implementation, and retained partnerships are each governed by the signed proposal and statement of work for that engagement. Where that signed document conflicts with these Terms, the signed document controls.
Fees, payment schedule, scope, deliverables, and timing are set in that document. Scope changes only through a written change order stating the effect on fees and schedule.
The 60-day Audit
Consulting Sprint, Implementation & Automation, and Retained Partnership engagements include a follow-up SHAPE Audit about 60 days after launch, compared against your first Audit. “Launch” means the launch date set in your signed proposal; if launch moves, the follow-up Audit moves with it. The follow-up is not included with the Strategy Call, Advisory Session, or Guided Working Session.
What each side provides
- We perform the services described in the signed proposal with reasonable skill and care, and to the standards our own method sets.
- You provide timely access, accurate information, an authorized decision-maker, feedback, and approvals. Work that stalls for want of these is not a failure of delivery.
Deliverables are accepted when approved in writing, or when the agreed review period passes without a documented material defect.
05Intellectual property
The SHAPE framework, the Diagnostic, the Audit, our methods, templates, tools, models, and systems are and remain Company property, including anything we develop while working with you that is general to the method rather than specific to your business.
Final outputs created specifically for you — your Audit Findings, positioning, messaging, architecture, and roadmap — are yours to use in your business after full payment.
You may not resell, sublicense, republish, or repackage our frameworks, templates, or tools as your own offering, or use them to deliver equivalent services to third parties, without a separate written licence.
06No guarantee of results
Our work provides strategic, operational, and educational guidance. It does not constitute legal, tax, accounting, investment, medical, or regulated-industry advice, and it does not guarantee revenue, customer response, funding, market outcomes, score improvements, or business success.
You remain responsible for your decisions, your implementation, obtaining appropriate professional review, and your compliance with applicable law.
07Fees and refunds
Consulting fees, deposits, and payment terms are set in your signed proposal. Consulting fees are not refundable; if an engagement does not meet its agreed objectives we commit additional working time at no charge. The $99 Audit fee is not refundable. The full terms are on the Refund Policy page, which forms part of these Terms.
08Confidentiality
Each party will protect the other’s non-public information using reasonable care and use it only for the Audit or engagement it was shared for. This includes the evidence, notes, and team responses submitted in your Audit. This obligation survives the end of the Audit or engagement.
We will not name you as a client or describe your work publicly without your permission.
09Limitation of liability
To the maximum extent permitted by law, the Company’s total liability arising from or relating to these Terms, the Diagnostic, the Audit, or any engagement shall not exceed the amount you paid us for the Audit or engagement giving rise to the claim. The Company is not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or business opportunity, even if advised of the possibility.
The site, the Diagnostic, and the Audit tool are provided “as is” without warranties of any kind, express or implied, except as expressly stated here or required by law.
10Ending an engagement
Either party may end an engagement under the terms of the signed agreement. You pay for work completed and committed costs through the termination date; anything paid in advance and unearned is returned. Provisions covering intellectual property, confidentiality, disclaimers, limitation of liability, and governing law survive termination.
11Changes to these terms
We may update these Terms. The version in effect when you purchased the Audit or engaged us governs that purchase or engagement. Material changes are reflected in the effective date at the top of this page.
12Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. The exclusive venue for any dispute is the state or federal courts located in Hillsborough County, Florida.
